Secure Virtual Data Rooms (VDRs)
As opposed to traditional data rooms, Virtual Data Rooms are essentially secure Internet sites with controlled access, unique logons, data encryption and electronic audit facilities, which allow third parties confidential document access via the Internet.
 
Do virtual data rooms (VDRs) add value to the transactional business process?
 
They certainly do!
 
The traditional data room is literally a physically secure and continually monitored room, normally within a law firm's offices, from which the interested parties and their advisers inspect and report on the various documents and other data made available within.
 
Often only one bidder at a time will be allowed to enter and if new documents or new versions of documents are required, these will have to be brought in by courier as hardcopy. Teams involved in large due diligence processes will typically have to be flown in from many regions or countries and remain available throughout the process. Such teams often comprise a number of experts in different fields and so the overall cost of keeping such groups on call near to the data room is often extremely high.
 
During the due diligence phase, a potential buyer evaluates the risk and value involved in a transaction. Through standardization and systematic improvements in the due diligence process higher success rates can be achieved.
 
A VDR improves process quality, from which a 'better' outcome - the final price - is likely to arise whilst simultaneously reducing risk for the potential buyer. This benefit results directly from increased transparency, powerful document search capabilities and greater time for overall document inspection.
